Terms and Conditions & Software License Agreement

1. Introduction and Acceptance of Terms

Welcome to AmanTech Solutions. These Terms and Conditions constitute a legally binding agreement between you (the “Licensee” or “Customer”) and AmanTech Solutions (the “Licensor” or “Company”) regarding your purchase and use of our digital products, specifically the Accounting ERP Software.

By purchasing, downloading, installing, or using our software, you acknowledge that you have read, understood, and agreed to be bound by this Software License Agreement. If you do not agree to these terms, you must not purchase or install the software. This agreement applies to all digital products, plugins, themes, and standalone applications sold via the AmanTech Solutions website.

2. Grant of License

AmanTech Solutions provides digital software that is copyrighted and licensed, not sold. Upon your payment of the applicable license fees, we grant you a revocable, non-exclusive, non-transferable, and limited license to use the software strictly in accordance with the terms of this agreement.

2.1 License Scope

• Single-Site License: If you purchase a Single-Site license, you are authorized to install and activate the software on exactly one (1) live domain or production server.
• Multi-Site/Developer License: If available, this license permits installation on the specific number of domains defined in the product description.
• Local/Staging Environments: You may install the software on a localhost or staging environment for testing purposes without it counting towards your license limit, provided these environments are not publicly accessible for commercial use.

3. Intellectual Property and Ownership

The Accounting ERP Software and all accompanying materials, including but not limited to source code, images, algorithms, database structures, and documentation, are the exclusive intellectual property of AmanTech Solutions.

This Software License Agreement does not convey to you any interest in or to the software, but only a limited right of use revocable in accordance with the terms of this agreement. The software is protected by international copyright laws and treaties. You agree not to remove, obscure, or alter any copyright, trademark, or other proprietary rights notices affixed to or contained within the software.

4. User Restrictions and Prohibited Acts

To protect the integrity of our software and business model, you agree strictly NOT to:

1. Redistribute: Sell, resell, rent, lease, sublicense, or otherwise transfer your rights to the software to any third party.
2. Reverse Engineer: Decompile, disassemble, or reverse engineer the software or attempt to derive the source code, except to the extent that such activity is expressly permitted by applicable law notwithstanding this limitation.
3. Share Licenses: Publicly share, post, or distribute your unique License Key or activation credentials on forums, social media, or “warez” sites.
4. Create Derivative Works: Create a competing software product based on the proprietary logic or code structure of our ERP system.

Violation of these restrictions will result in the immediate termination of your license without notice and may result in legal action.

5. Updates, Support, and Maintenance

5.1 Software Updates

We are committed to improving our Accounting ERP Software. We may, from time to time, release updates to fix bugs, improve compatibility, or add new features. Updates are provided to customers with an active license. If your license expires (e.g., in a yearly subscription model), you may continue to use the version of the software you have, but you will not receive further security updates or feature enhancements.

5.2 Technical Support

Support is provided via our official support channels (email or ticket system) strictly for the original purchaser. Our support covers:

• Installation issues.
• Configuration guidance.
• Fixing bugs within our code.

Our support does not cover:

• Customization of the code to fit unique business needs.
• Issues caused by third-party plugins, themes, or hosting environment misconfigurations.
• Data entry or accounting advice.

6. Limitation of Liability and “As-Is” Warranty

Please read this section carefully.

The software is provided “AS IS” and “AS AVAILABLE”, without warranty of any kind, express or implied, including but not limited to the warranties of merchantability, fitness for a particular purpose, and non-infringement.

6.1 Data Responsibility

AmanTech Solutions shall not be liable for any direct, indirect, incidental, special, or consequential damages arising out of the use of or inability to use the software. This includes, but is not limited to:

• Loss of Data: You are solely responsible for performing regular backups of your database and files. We are not responsible for data corruption or loss resulting from server errors, software conflicts, or user error.
• Financial Discrepancies: While we strive for accuracy, our Accounting ERP Software is a tool to assist in financial management. It does not replace the advice of a certified accountant. We are not liable for tax penalties or accounting errors incurred while using the software.

7. Termination

This Software License Agreement is effective until terminated. Your rights under this license will terminate automatically without notice from AmanTech Solutions if you fail to comply with any term(s) of this agreement. Upon termination, you must cease all use of the software and destroy all copies, full or partial, of the software.

8. Governing Law and Jurisdiction

These Terms and Conditions generally are governed by the laws of the jurisdiction where AmanTech Solutions is established. Any disputes arising from this agreement shall be settled in the competent courts of that jurisdiction.
